These Terms and Conditions ("Terms") govern your access to and use of the HealthCRM platform and related services provided by HealthCRM Technologies Pvt. Ltd. ("HealthCRM", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

1. The Service

HealthCRM provides a cloud-based Customer Relationship Management (CRM) platform designed specifically for healthcare clinics, hospitals, diagnostic centres, and related healthcare organisations. The Service includes lead management, patient records, appointment scheduling, consultation logging, billing, automation rules, and related features as described on our website.

Important disclaimer: HealthCRM is a business management and CRM tool. It is not a clinical decision support system, electronic medical records (EMR) system, or medical device. No part of the Service should be used as the basis for clinical diagnosis, treatment decisions, or medical advice.

2. Account Registration

  • You must provide accurate, complete, and current registration information at all times
  • You are responsible for maintaining the confidentiality of your account credentials
  • One account corresponds to one organisation; you may not share your account with multiple organisations
  • You must promptly notify us of any suspected unauthorised use of your account at security@healthcrm.in
  • You must be at least 18 years old to register an account

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any purpose other than managing your healthcare organisation's operations
  • Enter data of patients without their knowledge and appropriate consent
  • Attempt to gain unauthorised access to any part of the Service or another organisation's data
  • Use the Service to transmit spam, malware, or any malicious content
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or commercially exploit the Service without written permission
  • Upload content that is defamatory, obscene, or violates third-party intellectual property rights
  • Attempt to circumvent any rate limits, security measures, or access controls

4. Subscription and Payment

HealthCRM offers a free plan and paid subscription tiers. For paid plans:

  • Subscription fees are billed in advance on a monthly or annual basis as selected at sign-up
  • All fees are exclusive of applicable taxes (including GST where applicable)
  • Payments are processed by our third-party payment provider and are subject to their terms
  • Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy
  • We reserve the right to change our pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing
  • Failure to pay may result in suspension or termination of your account

5. Data Ownership and Responsibility

You retain full ownership of all data you enter into the Service ("Your Data"). By using the Service, you grant us a limited licence to host, process, and display Your Data solely to provide the Service to you.

You are solely responsible for:

  • The accuracy, quality, and legality of Your Data
  • Obtaining all necessary consents from patients and third parties before entering their data
  • Complying with all applicable data protection laws including the Digital Personal Data Protection Act, 2023 (India) and any other applicable regulations
  • Ensuring your use of the Service complies with healthcare regulations applicable to your practice

6. Intellectual Property

The Service, including all software, designs, text, graphics, and other content (excluding Your Data), is the exclusive property of HealthCRM Technologies Pvt. Ltd. and its licensors. All rights are reserved.

You may not copy, modify, distribute, or create derivative works of the Service or any part thereof without our express written consent.

7. Confidentiality

Each party agrees to keep confidential any non-public information of the other party obtained through use of the Service. We will not disclose Your Data to any third party except as described in our Privacy Policy or as required by law.

8. Availability and Support

We strive to maintain 99.9% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible. Support is available via email at support@healthcrm.in during business hours (Monday–Friday, 9 AM–6 PM IST).

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied
  • HealthCRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim
  • We are not liable for any loss or corruption of Your Data caused by factors outside our reasonable control

10. Indemnification

You agree to indemnify and hold harmless HealthCRM Technologies Pvt. Ltd. and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Data, or your violation of these Terms.

11. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or engage in conduct that poses a security risk to the Service or other users.

Upon termination, your access to the Service will cease. Your Data will be available for export for 30 days after termination, after which it will be permanently deleted.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India. We encourage parties to attempt good-faith resolution before initiating formal proceedings.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
